In the State of Michigan, the law allows the formation of a corporation, a Limited Liability Company (LLC), or a partnership (with various types of partnerships available). A partnership, on the other hand, does not offer such protection.

In fact, a single member LLC does not even require its own tax return.

Corporations have been an established part of Michigan business law for well over one hundred years. Although the concept of corporations originated in the English common law system that eventually made its way to America’s shores, Michigan’s Business Corporation Act (Act 284 of 1972), MCL 450.1101 – 450.1151, now regulates all of the corporations formed in Michigan, and establishes their governance.

Contracts Law in Michigan

In Michigan, the primary source of contract law is the state’s common law. However, Michigan has adopted the Uniform Commercial Code (UCC). According to Michigan case law, there are five elements of contract formation, all of which must be met in order for a contract to be enforced by the courts. The five elements are as follows: 1) the parties must be competent to contract, 2) the subject matter of the potential contract must be proper, 3) there must be legal consideration, 4) there must exist mutuality of agreement, and 5) there must exist mutuality of obligation. Thomas v. Leja, 468 N.W.2d 58 (Mich. App. 1991).
