CORPORATION LAW

Corporations have been an established part of Michigan law for well over one hundred years. Although the concept of corporations originated in the English common law system that eventually made its way to America’s shores, Michigan’s Business Corporation Act (Act 284 of 1972), MCL 450.1101 – 450.1151, now regulates all of the corporations formed in Michigan, and establishes their governance.

The initial and most attractive aspect of a corporation is that individual owners of a corporation are generally protected from being personally liable to third parties for the debts and obligations of the corporation, provided they follow the formalities of proper corporate governance. Most importantly, the owners of a corporation, also known as the shareholders, must always treat the corporation as a separate legal entity, and not merely as an extension of their own wallets. The owners must also elect a board of directors, which will manage and run the corporation’s daily affairs. It should also be noted that Michigan law does not distinguish between “S” and “C” corporations. That distinction is made in the United States Internal Revenue Code.
